These Terms of Service ("Terms") govern access to and use of the website, marketplace, auction platform and related services (the "Platform").
The Platform is operated by Equipment Hub Ltd, a company registered in England and Wales ("EH UK"), under licence from Equipment Hub Africa Ltd, a company incorporated in Ghana ("EH Africa").
By accessing or using the Platform, you agree to be legally bound by these Terms. If you do not agree, you must not use the Platform.
1. DEFINITIONS
- "Affiliate"
- means any entity under common ownership or control with Equipment Hub.
- "Auction"
- means any timed, online or negotiated bidding process conducted via the Platform.
- "Buyer"
- means any person or entity purchasing or bidding on Equipment.
- "Equipment"
- means machinery, plant, vehicles, parts, tools, containers and industrial assets.
- "Seller"
- means any person or entity listing Equipment for sale or rental.
- "Services"
- means marketplace listings, auctions, brokerage, introductions, disposal management, valuation, logistics coordination and related services.
- "User"
- means any person accessing or using the Platform.
2. ROLE OF EQUIPMENT HUB
2.1
Equipment Hub may act as:
- Agent for a Seller
- Auctioneer
- Broker or introducer
- Principal seller (only where expressly stated in writing)
2.2 Unless expressly stated otherwise in writing, Equipment Hub acts as agent only and does not own the Equipment listed.
2.3 Equipment Hub does not guarantee title, condition, completeness, merchantability, fitness for purpose, or regulatory compliance of any Equipment unless expressly agreed in writing.
2.4 No Partnership or Agency — Nothing in these Terms creates any partnership, joint venture, fiduciary or agency relationship between Equipment Hub and any User, except where expressly agreed in writing.
3. USER REGISTRATION & ACCOUNT SECURITY
3.1 Users must provide accurate and complete information.
3.2 Equipment Hub may, at its sole discretion:
- Verify identity and ownership
- Require KYC documentation
- Refuse or suspend registration
- Terminate accounts without notice
3.3 Users are responsible for all activity conducted through their account.
4. PERMITTED USE
Users must not:
- Use the Platform for unlawful purposes
- Interfere with or disrupt operations
- Scrape, harvest or extract data
- Use automated systems without written consent
- Use the Platform for competitive intelligence
- Circumvent Equipment Hub
- Misrepresent identity
- Damage Equipment Hub's reputation
Equipment Hub reserves the right, at its sole discretion, to suspend or permanently restrict Users engaging in harmful or strategic misuse.
5. AUCTION TERMS
5.1 Binding Bids — All bids are irrevocable and legally binding.
5.2 Contract Formation — A contract is formed at the fall of hammer, close of auction, or written acceptance.
5.3 Deposits — Deposits may be required. Failure to complete payment may result in forfeiture.
5.4 Payment — Payment must be made in cleared funds within the specified timeframe.
5.5 Default — If Buyer defaults:
- Deposit may be forfeited
- Equipment may be resold
- Buyer liable for any shortfall and recovery costs
- Legal action may be pursued
5.6 "As Is, Where Is" — All Equipment is sold "as is, where is" with all faults. No warranty is given as to condition, suitability or performance.
5.7 Risk & Title — Risk passes at fall of hammer or invoice issuance. Title passes only upon receipt of cleared funds unless otherwise agreed in writing.
6. MARKETPLACE LISTINGS
6.1 Seller Representations
By listing Equipment, Seller represents and warrants that:
- It has legal title or lawful authority to sell or rent the Equipment;
- The Equipment is free from undisclosed liens or encumbrances;
- The description provided is materially accurate;
- The listing does not infringe third-party rights.
Seller indemnifies Equipment Hub against any claim arising from breach of these representations.
6.2 Accuracy of Listings — Equipment Hub does not independently verify listing information and makes no representation as to accuracy. Buyers must conduct independent inspections and due diligence.
6.3 Right to Remove Listings
Equipment Hub may, at its sole discretion:
- Refuse to publish listings
- Edit formatting
- Remove listings
- Suspend listings for legal, compliance or reputational concerns
6.4 Commission on Marketplace Sales
Commission is payable where:
- A Buyer accesses Seller details via the Platform;
- A transaction arises directly or indirectly from a Platform introduction;
- Equipment listed is sold within 24 months of listing;
- Related entities complete the transaction;
- A transaction is structured directly or indirectly, whether as a sale, transfer, lease, asset deal, share deal, service agreement or otherwise.
Commission applies even if the transaction is completed outside the Platform.
6.5 Off-Platform Transactions — Users may not avoid commission by concluding transactions privately following introduction. Commission remains payable for 36 months from initial introduction.
6.6 Rental Listings
Where Equipment is listed for rental: rental agreements are between the parties; Equipment Hub is not responsible for damage, misuse or default unless acting as principal.
7. COMMISSION & NON-CIRCUMVENTION
7.1 Users agree not to circumvent Equipment Hub in any transaction introduced directly or indirectly via the Platform, whether structured directly or indirectly as a sale, transfer, lease, asset deal, share deal, service agreement or otherwise.
7.2 This obligation continues for 36 months from initial introduction.
7.3 Platform records, communications and listing history constitute prima facie evidence of introduction.
7.4 Commission rights survive termination of account.
8. CROSS-BORDER TRANSACTIONS & RISK
8.1 Equipment may be located in multiple jurisdictions worldwide.
8.2 Cross-border transactions may involve risks including:
- Political instability
- Regulatory changes
- Customs delays
- Currency controls
- Government intervention
- Court orders
- Security incidents
8.3 Equipment Hub shall not be liable for loss, delay, seizure, restriction or interference arising from events occurring outside England and Wales.
9. TAXES & DUTIES
Buyers are solely responsible for:
- VAT
- Import duties
- Customs clearance
- Local taxes
- Regulatory compliance
Equipment Hub provides no tax advice.
10. CONFIDENTIALITY & DATA PROTECTION
10.1 Misuse of Information
Users must not:
- Copy seller or buyer information
- Use contact data outside legitimate transactions
- Reproduce pricing databases
- Reverse engineer systems
- Harvest or extract data for competitive purposes
Equipment Hub may monitor usage and investigate suspected misuse.
10.2 Privacy & Data Processing
Equipment Hub processes personal data in accordance with its Privacy Policy, which forms part of these Terms. By using the Platform, Users acknowledge and agree to such processing. Equipment Hub may collect, store and process personal and transactional data for the purposes of operating, securing, improving and enforcing the Platform, including fraud prevention, compliance, dispute resolution and enforcement of commission rights. Where Equipment Hub processes personal data on behalf of a User in connection with the Services, such processing shall be governed by applicable data protection laws.
11. INTELLECTUAL PROPERTY
All intellectual property rights in and to the Platform, including software, databases, website content, branding, logos, designs, auction systems, data compilations and related materials, are owned by Equipment Hub Africa Ltd and/or its affiliated entities and licensors. Equipment Hub Ltd operates the Platform under licence. No rights are granted except as expressly set out in these Terms.
12. INDEMNITY
Users indemnify Equipment Hub, its Affiliates, directors, officers and agents against all claims, losses, damages and expenses arising from:
- Breach of these Terms
- Transaction disputes
- Misrepresentation
- Third-party claims
- Regulatory violations
13. LIMITATION OF LIABILITY
To the fullest extent permitted by law:
Equipment Hub shall not be liable for:
- Indirect or consequential losses
- Loss of profit
- Loss of business
- Loss of opportunity
The total aggregate liability of Equipment Hub, whether in contract, tort (including negligence), breach of statutory duty or otherwise, shall not exceed the greater of:
- £10,000; or
- Fees paid to Equipment Hub in the preceding 12 months.
Nothing excludes liability for fraud or death/personal injury caused by negligence.
14. FORCE MAJEURE
Equipment Hub shall not be liable for failure or delay caused by events beyond reasonable control, including:
- War
- Civil unrest
- Government action
- Port closures
- Natural disasters
- Currency restrictions
15. TERMINATION
Equipment Hub may, at its sole discretion, suspend or terminate accounts. Termination does not affect:
- Commission rights
- Non-circumvention
- Indemnities
- Intellectual property ownership
- Limitation of liability
16. INJUNCTIVE RELIEF
Users acknowledge that breach of:
- Non-circumvention
- Confidentiality
- Intellectual property
may cause irreparable harm. Equipment Hub is entitled to seek injunctive relief without proof of special damages.
17. GOVERNING LAW
These Terms are governed by the laws of England and Wales. Users irrevocably submit to the exclusive jurisdiction of the courts of England and Wales. The English language version prevails.
18. VARIATION
Equipment Hub reserves the right to amend these Terms at any time. Updated Terms will be published on the Platform with a revised "Last Updated" date. Continued use of the Platform constitutes acceptance of the updated Terms.
19. SEVERABILITY
If any provision is held invalid, remaining provisions remain enforceable.
20. ENTIRE AGREEMENT
These Terms constitute the entire agreement between the parties and supersede all prior agreements.
